IMPORTANT –PLEASE READ CAREFULLY

By accepting the terms and conditions as described below a binding agreement between EuroGMP AB (provider) and you (user) is established. To be able to complete a subscription you have to accept the terms and conditions to be able to finalise a subscription of the on-line CGMP search tool KEY2GMP™ (product) and to be provided subscription access information. EuroGMP AB reserves the right to update and improve the product without further notice to the users and potential users. The product is covered by exclusive copyright and may at no circumstances be copied, reproduced, translated, changed, or reduced into any other medium without written approval from the provider: EuroGMP AB, Tjädervägen 10, SE-181 56 Lidingö, SWEDEN, +46-(0)8 544 811 60 or info@eurogmp.com Each subscription account is for single use of the service and measures will be taken against breach of this condition. Each user is solely responsible to store and protect access information to protect from multiple use of access. The system will automatically recognise multiple uses and will shut down further use immediately. New access information will be provided to the user by e-mail. Frequent breach will render a permanent shut down of access and the user will be contacted by the provider.

CURRENCY CLAUSE AND SUBSCRIPTION FEE
The subscription fee is set in € (Euro) which is the base for the calculation of the fee in $ (USD). The ratio between € and $ (€/$) is set to 1.20 as of January 31, 2006 and if this ratio differs more than 5% in either direction the provider reserves the right to change the subscription fee in $ USD. An eventual change of the subscription fee will only be applied for new subscriptions or renewals after the change. The actual and official pricing information will be available on the web site www.key2gmp.com on the “Subscribe” page, and no other notices of changes will be announced elsewhere.

PAYMENT AND VAT (Value Added Taxation)
Access to the subscription will only be provided after approved payment of the subscription fee. Payment of the subscription fee can be made as: • Secure on-line payment by credit card where access information will be provided automatically by e-mail after credit card authorisation. • Signature on-file payment by credit card where access information will be provided by e-mail after manual credit card authorisation. • Invoice payment where access information will be provided by e-mail after recognition of at minimum an official company purchase order number or an official written company purchase order. Payment terms are 30 days net via wire transfer, no checks accepted. Access information provided by e-mail will be constituted by: user id, password, licence number and subscription expiry date. As soon as access information is available the user can enter KEY2GMP™. The subscription fee will be excluded VAT for subscriptions from countries outside EU, and for subscriptions from registered companies within EU, excluding Swedish subscribers where a 25% VAT will be added. For statistical tax reporting of trade between EU countries, information of company VAT number is mandatory for any subscriptions to companies within EU. With the exception of claims for non-delivery due to unusual server downtime described below, all purchases are final.

CLAIMS IN CASE OF NON-DELIVERY
Claims cannot be made for access problem to KEY2GMP™ that is related to circumstances outside the control of the provider. Any claims on the provider in case of problems with access related to server downtime outside the specified scheduled service occasions have to be sent to the provider by e-mail immediately after detection. Reimbursement can be claimed for downtime exceeding 6 hours and will be compensated accordingly with the downtime after approval of the claim. No other reimbursements will be given.
